摘 要

近年来，创新成为中国经济新常态下的主要发展动力，但是微观企业作为我国创新主体，创新能力普遍不强，持续发展动力缺乏，如何提高企业的创新能力成为亟待解决的问题。在影响企业创新能力的因素中，公司治理结构是最重要的内部因素之一，而独立董事制度作为重要的公司治理机制，无疑会对公司创新产生影响。因此，为探究独立董事对公司创新的影响，本文利用2005-2013年中国上市申请公司专利数据作为公司创新的衡量指标进行实证研究，以期在独立董事运作方面对提高上市公司创新能力提出相关建议。

本文在理论分析的基础上，以公司创新作为被解释变量，以独立董事的特征作为解释变量，通过多元线性回归模型，实证结果发现：（1）独立董事比例、年龄、学历对公司创新均存在促进作用，而女性独立董事却不利于公司创新；（2）在金融市场化程度越高的地区，这种作用越显著；（3）在法律环境欠发达的地区，独立董事对公司创新的作用越显著，这说明法律环境可以部分替代独立董事对公司创新的作用。由此结论，本文认为独立董事要加强自身履职意识，上市公司应健全独立董事选聘机制，政府应改善企业的创新环境，这将促进企业实现创新驱动发展。

Abstract

In recent years, innovation has become the main driving force for the development of China's economy under the new normal .However, as the main force of innovation, the innovation ability of Chinese enterprises is generally not high and the sustained momentum is not enough. How to improve their ability to innovate has become an urgent problem. In the factors affecting the ability of innovation, corporate governance is one of the most important internal factors. As an important corporate governance mechanism, the independent director system will undoubtedly have an impact on the company's innovation. Therefore, to explore the impact of independent directors on company innovation, using a data set of 2005--2013 Chinese listed firm's patent as a measure of firm’s innovation ,this paper is intended to give some suggestions on the functioning of independent directors to improve innovation capability.

In this paper, on the basis of theoretical analysis, we use company innovation as explained variable and the characteristic of the independent directors as explanatory variables though multiple linear regression model.The results showed that: (1) The ratio ,age and education of independent directors have positive influence on the company's innovation while the ratio of women independent directors are not conducive to innovation; (2) For the financial markets, the more developed regions, this effect is more significant; (3 ) For legal environment less developed regions, the role of independent directors on the company's innovation is more significant. The legal environment can partially replace the role of independent directors on the firm’s innovation. The empirical results of this paper shows that independent directors should strengthen their awareness of their duties, the independent directors of listed companies should improve the mechanism for hiring, the government should optimize the environment for innovation, which will help improve China's listed companies ability to innovate.

近年来，创新不仅成为促进一个国家和地区经济发展的推动力，也是企业发展壮大、增强市场竞争力、取得超额利润的关键途径。但是我国企业的整体创新能力不强，企业创新投入不足，创新产出匮乏，创新质量不高。提高企业的创新能力迫在眉睫，也是各学者关注的焦点。

企业作为技术创新的主体，影响其进行创新的因素很多，既包括外部因素，如一个国家的社会资本存量、金融发展水平、公司所在行业的竞争程度等，还涉及到内部因素，如公司治理因素。目前公司治理机制正在由以股东大会为中心向以董事会为中心转变。独立董事制度作为董事会治理的一个重要组成部分，在我国实施十余年来，由最初的直接接受到后来的不断适应、完善，已经成为公司治理机制的核心内容。

但是，作为“舶来品”的独立董事在中国的本土化并不成功，这一制度自诞生以来就争议不断，更有学者纷纷指出独立董事是“人情董事”、“花瓶董事”。2013年10月和2015年11月，A股上市公司先后出现了独立董事辞职潮，“高官董事”和“高校董事”纷纷辞职，独立董事一度成为热搜词汇，也引起国内学者纷纷探讨其有效性问题。
