摘 要

随着我国经济的发展，资本主义市场不断扩大。融资对于上市公司来说必须得选择一个合理的渠道。大部分民营上市公司毅然决然选择了股权质押。在资本主义市场中，民营上市公司作为主体之一，与国有上市公司比较而言，民营企业的股权结构更集中，大股东约束力更弱，从而暴露出股权质押的蕴含的隐藏风险。对于股权质押问题的研究，国内的相关专家近年来才开始研究，研究表明，股权质押给公司带来了很多负面影响，比如企业资金匮乏、融资不通、运营情况欠佳等，这些影响造成了公司股价的摇摆不定，而股价下跌又会进而影响股东补充质押。假设没有及时补充质押，则会形成控制权转移风险，对企业产生影响。

本文选取东方园林来进行分析，通过对东方园林股权质押的目的、动机等来分析股权质押所带来的风险，并结合财务数据来分析东方园林的资产负债表等，来分析东方园林股权质押这种方法有哪些风险和影响。

为此本文得出以下建议：第一，加强对股东股权质押行为的监督，约束股权质押行为；第二，建立健全风险预警系统，监管机构完善相关法律法规，加强对股权质押市场的管理；第三，引入外部投资，制衡控股股东权利。

Research on Equity Pledge of Oriental Garden

Abstract

In recent years, with the rapid development of China"s capital market, there are more and more financing channels for listed companies. Equity pledge has become one of the financing methods of most private listed companies. In the capitalist market, private listed companies are one of the main bodies. Compared with state-owned listed companies, the ownership structure of private listed companies is more concentrated, and the binding power of major shareholders is weak, which leads to the exposure of the risk of equity pledge.For the research of equity pledge, nearly a few domestic scholars begin to study of pledge of equity financing, through the study found that the equity pledge is bring about many negative impacts, such as insufficient funds, financing and management condition, etc., these effects make the company"s share price volatility, and falling stock prices will affect shareholders complement the pledge. If the pledge cannot be supplemented in time, it will cause the risk of control transfer, aggravate the financial risk of the company, and have a certain impact on the enterprise.

Aiming at the shortcoming, selected the most representative in Chinese private listed firms Oriental garden for analysis, for the purpose of the Oriental garden of equity pledge, motivation, etc to analyze the risk of equity pledge, and combining the financial data to analyze the Oriental garden of the balance sheet and cash flow statement, in-depth analysis of the east garden of pledge of equity financing, and the risk of equity pledge and the influence of equity pledge to the company, and puts forward prevention suggestions.

To this end, this paper proposes: First, strengthen the supervision of shareholders" equity pledge behavior, restrict the equity pledge behavior; Second, establish and improve the risk early warning system, the regulatory authorities improve the relevant laws and regulations, strengthen the management of the equity pledge market; Third, the introduction of external investment to balance the rights of controlling shareholders.

第一章 绪 论

1.1 研究背景

随着我国经济的发展，我国民营企业以机制灵活以及贴近市场资源等特点不断推动我国经济社会的发展。并且民营企业有效减缓了社会就业问题以及促进了产业结构的优化与完善。2018年12月份发布了《中国民营上市公司发展报告，在报告截止之前，共统计到3588家上市公司，其中属于民营公司的占了绝大多数，约为63.88%。A股民企收入不断增加，GDP也逐年增加，而我国民营经济GDP占比主导了我国半数还多的经济，约为60%。此外，从2012年到2017年股东分红由起初的26.35%达到了32.97%。

但是，民营上市公司在发展过程中，一直遭受经营资金匮乏、融资渠道不通等问题的干扰。作为当前国家发展和行业进步的主要推动力，中小型企业迅速成长的背后必定需要大量资金的支持，企业对资金的需求越来越大，继而如何融资便成为了诸多企业在做大做强路上的拦路虎。
