摘 要

我国科技成果转化率低的问题由来已久，虽然从某些数据来看，科技发展速度快，专利数量庞大，但是真正成功转化且投入生产的却少之又少。要实现科技发展质的飞跃，提高科技转化率是其重中之重，但科技成果转化过程中的法律风险问题不容忽视，因此本文基于科技成果转化现状，分析成果转化中不同得法律风险并提出防范建议。

首先，本文进行了科技成果转化的背景研究，并梳理了国内外学者的研究观点；其次，介绍我国科技成果转化的各类模式，进行发展成果总结；从上述内容总结出，我国科技成果转化所面临的来自不同方面的法律风险，并对其从竞业限制、商业秘密保护、法律法规适用、合同风险的规避以及风险的防控机制等方面提出了可行性建议，并表达了对科技成果转化美好未来的期许。

Abstract

The problem of low transformation rate of scientific and technological achievements in China has a long history. Although the development of science and technology is fast and the number of patents is huge, there are few successful transformation and production. In order to realize the qualitative leap in the development of science and technology, the most important thing is to improve the conversion rate of science and technology. However, the legal risks in the process of the transformation of scientific and technological achievements cannot be ignored. Therefore, based on the current situation of the transformation of scientific and technological achievements, this paper analyzes the different legal risks in the transformation of achievements and puts forward preventive suggestions. First of all, this paper studies the background of the transformation of scientific and technological achievements, and combs the research views of scholars at home and abroad; secondly, it introduces various modes of the transformation of scientific and technological achievements in China, and summarizes the development achievements; from the above content, it summarizes the legal risks faced by the transformation of scientific and technological achievements in China from different aspects, and from the competition restrictions, trade secret protection, laws and regulations Some feasible suggestions are put forward in terms of applicability, avoidance of contract risk and prevention and control mechanism of risk, and the expectation for the transformation of scientific and technological achievements into a better future is expressed.

第1章 绪论

1.1选题背景

在当前全球经济快速发展的时代，加快科技成果转化是促进科技发展的重要推手,是践行“科学技术是第一生产力的”必经之路。在发达国家，科技早已取代其他产业，成为促进经济发展的首要方面，75%以上的经济增长都是依靠科技发展实现的。例如，英、美、法、德、等欧美国家的科技成果转化率早已达到了50%以上，其中美国的科技成果转化率更是已经高达80%。相比之下，据2016年的媒体报道，我国科技成果转化率远不及30%。

面对我国科技发展的窘境及诸多问题，十九大报告中，习近平总书记在贯彻新发展理念，建设现代化经济体系中强调说明，对一个国家来说，创新是引领发展的第一动力，是新时代下加快建设现代化经济体系的战略支撑。创新性国家的建设需要加强国家创新体系建设，强化战略科技力量。深化科技体制改革，创建以成果转化端的企业为主体、市场为导向、产学研深度融合的技术创新体系，重视市场的调节作用，利用好市场作为经济调节“无形手”的角色，同时也要发挥政府有形手的作用，加强宏观调控，加大对中小企业创新在政策、资金、技术的支持，促进科技成果转化。在我国战略转型和改革深化的关键节点，着重强调了科技成果转化对于经济发展的重要意义。
