摘 要

本文采用查阅文献资料的方法，对BOT融资模式进行了简单研究。运用对比的方式，分析BOT融资模式的特点，探讨新形势下BOT融资模式在基础设施建设项目、节能减排等项目中的生存与发展，所得结果在公私合营建设、融资模式领域具有一定的意义。

论文分为六个部分，开篇第一章为绪论，简要介绍了选题的背景及意义，概括了国内外对于BOT融资模式的研究动态，并提出本文的主要思路；第二章阐述BOT融资模式的理论基础，具体介绍了其内涵，并与其他类型的融资模式进行对比，为下一步分析夯实基础；第三章纵观BOT融资模式的发展，总结概括其在中国的应用现状；第四章在现状基础上，总结分析了BOT融资模式应用中存在的问题；第五章针对问题，提出了完善BOT融资模式，为其寻求新的发展机遇的建议；第六章小结，概括全文的主要内容。

研究结果表明：BOT融资模式虽然起步较早，但是发展仍未趋于成熟，相较于其他融资模式有利也有弊，应当在充分发挥其优势的同时弥补其自身的不足，进而发掘新的发展机会。

本文阐述了BOT融资模式，肯定其优点，也指出了其遇到的瓶颈，相较于理论学者们的研究，本文的新颖之处在于从政府采购的角度具体分析了BOT融资模式的运用，不仅着眼于传统基础设施建设领域，而且关注了节能环保新领域及自然资源开发领域对于BOT融资模式的应用。

Abstract

In this thesis, the BOT financing model is studied by using the method of access to literature. This thesis analyzes the characteristics of BOT financing mode and discusses the survival and development of new situation BOT financing mode in infrastructure construction projects, energy saving and emission reduction projects. The results are of significance in the field of public and private construction and financing mode.

The thesis is divided into six parts, the first chapter introduces the background, significance and research of BOT financing mode at home and abroad, and puts forward the main idea of this thesis; the second chapter introduces the basic theory of BOT financing mode, introduces its connotation, and compared to the related financing mode, laying the groundwork for the next step of development; the third chapter in the BOT financing mode, summarizes its application in Chinese; in the fourth chapter, based on the current situation, summarizes and analyzes the existing problems in the application of BOT financing mode; in the fifth chapter, put forward to improve the BOT financing mode, to seek new opportunities for the development of the proposal; the sixth chapter summary, elaborated the whole The main contents of this thesis.The results show that the BOT financing model has started earlier, but the development is still not mature. Compared with other financing modes, the BOT financing model should make full use of its own advantages while making up for its own shortcomings and discover new development. opportunity.

In my thesis, the BOT financing model is given, and its advantages are pointed out. The bottleneck is also pointed out. Compared with the theoretical scholars, the novelty of this thesis is that the application of BOT financing mode is analyzed from the angle of government procurement .Not only focuses on the tradition infrastructure construction domain, moreover has paid attention to the energy conservation environmental protection new domain and the natural resource development domain regarding the BOT financing pattern application.

第1章 绪论

1.1研究目的及意义

1.1.1选题的目的

BOT融资模式是目前国际上较为流行的一种新兴且重要的项目融资方式，适用于投资数额大、建设周期长，且投资回收较为缓慢的项目。根据我国的国情，这种融资模式对优化我国传统公共基础设施建设有着重要的作用，具有较强的适用性^[1]。

目前我国已经成为全球最大的公私合营市场，理论和实务工作者对BOT融资模式也展开了大量研究，但理论实践积累仍显不足，我国BOT融资模式在实践运用中也存在项目搁浅、责任烂尾等情形，对适合当前法律法规的政策大环境和改革发展需要的BOT融资最佳实践缺乏系统研究。虽然目前已经推出大量正在实施或者潜在的BOT融资项目，但各级政府前期工作水平参差不齐，多数项目实施过程不尽规范，对后续的风险缺乏充分考虑，因此留下了各种隐患。本文拟对BOT融资模式的基本内涵、应用现状、存在的问题进行总结分析，并针对传统领域基础设施的风险管理、法律问题、会计及税务问题提出合理化建议。

改革开放后，国民经济飞速发展，民众的生活质量得到空前的提高，桥梁、道路、供水系统等传统基础设施建设以及节能环保设施、自然资源开发勘探等的管理模式已跟不上日益发展的社会经济需求节奏，在基础设施建设中建设资金来源和资金使用效率成为最重要的问题^[2]，这是制约我国市场经济向纵深发展的一个重要因素，因而亟待进一步解决与完善。

1984年以后，我国有了一项新的举措——引入了BOT融资模式。这不仅丰富了外资利用的方式，而且使得外商在中国的投资方向发生了一定程度的改变，外商投资打破了针对我国加工工业的惯例，朝向我国急需发展的基础设施建设等领域迈开了步伐^[3]。
