管理层收购问题探讨毕业论文

摘 要
管理层收购起源于二十世纪70,80年代的西方欧美国家,它作为一种新兴的金融管理模式,加强了对公司内部的激励,更为合理的控制了代理成本,在管理层对企业的治理过程中起到了变革性的影响。然而我国的资本市场并不健全,法律制度不够完善,使得管理层收购在我国具有很大的争议。本文主要从内外环境进行分析,借鉴国外经验以解决国内管理层收购所面临的内部控制,资产流失等问题。
在研究过程中我们发现,随着一些国有股权的逐步退出,管理层收购在不断发展的西方经济市场中成为了一种成熟的杠杆收购方式。自2002年开始,管理层收购被视作一种解决国有制企业改革所产生问题的办法被引进国内市场,并且在长期的一段时间内表现活跃。然而在发展后期,却遭遇了很多问题。据此,本文先是介绍了文章的研究目的和意义,分析了国内外管理层收购问题的研究现状,同时阐述了文章所要研究的内容,梳理了文章的主要思路框架以及文章中所要采用的几个研究方法。在查阅了相关文献后,本文集中对管理层收购的相关概念和理论进行了更深一层次的分析,解释了什么是管理层收购,指出了其内外特征,分析其产生的原因。其中主要引用了管理者激励理论,人力资本理论,委托代理理论,财富转移理论等。在此过程中,文章结合相关的理论和数据,梳理了管理层收购与我国国有企业之间的联系及影响,提出了我国管理层收购过程中所存在的缺陷,对比国外的市场找出国内市场的缺失与不足。文章的后半部分则主要针对欧美国家特别是英美两国的管理层收购发展史进行一个探究,随之分析了管理层收购在其他国家的发展状况,对比国内外差异,借鉴国外管理层收购的经验教训,用以完善我国在管理层收购发展中存在的问题。
文章最后主要探讨了针对我国管理层收购相关问题的完善措施,对相关问题进行了深入的分析研究,并在此基础上给出了一些具体的建议措施,相信对于管理层收购这一新引入的企业改革方式具有较为积极的意义。

Abstract
Management buy outs (MBO)origins in the 20th century, 70, in the 1980s, the Western Europe and the United States, it as a new mode of financial management, strengthen the internal incentive, more reasonable control of the agency cost, plays a change in management of enterprises in the process of governance. However, China's capital market is not perfect, the legal system is not perfect enough, so that the management of the acquisition in China has a lot of controversy. This article mainly from the internal and external environment analysis, draw lessons from foreign experience has been resolved in the domestic management of the acquisition of internal control, the loss of assets and other risks.
In the course of the study we found that with the gradual withdrawal of some state-owned shares, the management of the acquisition in the continuous development of the western market has become a mature way of leveraged buyout. Since the beginning of 2002, MBO has been regarded as a solution to the problems arising from the reform of state - owned enterprises, which has been introduced into the domestic market and has been active for a long period of time. However, in the late stage of development, but suffered a lot of problems. Accordingly, the article first introduces the purpose and significance of the article, analysis the research status of domestic and international management buy-out problems, and expounds the research, combing the main frame and the adopted in several research methods. In the related literature, this paper concentrates a deeper level of analysis to management the acquisition of related concepts and theories, explains what is MBO, points out its internal and external features, analysis of its reasons. Which leads to the management incentive theory, human capital theory, principal-agent theory, wealth transfer theory, etc.. In this process, based on the related theories and data, combing the management acquisition with the contact and impact between the state-owned enterprise of our country, put forward China's MBO defects existing in the process, comparing the domestic and foreign market out of the domestic market and lack of. The latter part of the article, mainly to Europe and the United States especially British and American management buyout history of the development of an inquiry, followed by an analysis of the MBO development in other countries, differences between home and abroad, draw lessons from foreign MBO lessons, in order to improve the problems existing in the development of management buy out. Finally, this paper mainly discusses the improvement of the management buy outs in our country, analyzes the problems in depth, and gives some concrete suggestions.
Article summarizes the MBO in our country's development process, and put forward relevant measures according to the current situation, I believe that has more positive meaning to the management acquisition of the introduction of the new enterprise reform.

1.1相关背景
一直以来国际上都将管理层收购视作一种商务经营模式,它与一些金融手段相结合,作用于转型企业的经济改革,对企业的产权转换有着举足轻重的影响作用。早在六十年前国外市场就出现了管理层收购,但是在发展的初期它并不被所有人看好,一直到70年代末,它才逐渐崭露头角,作用于经济的改革并且贡献突出。同时,它也打入了西方资本市场的中心地带。
在一般情况下,管理层收购的过程包括业务的分解和资产的离析。然而,作为一种资本的运作方式,管理层收购加强了对公司内部的激励,更为合理的控制了代理成本,在西方国家的企业结构调整以及管理层对企业的治理过程中起到了变革性的影响并且具有更为积极的意义。三十年前,在一些欧洲国家就出现了使用管理层收购来进行产权转换的现象,而且这种做法在当时很受到企业资本家的青睐。同样,管理层收购也曾风靡美国。因为美国等国家的资本市场已经发展的相对成熟,所以他们主要是通过管理层收购的方式来开发养老基金,并且开启了新的市场竞争模式。与之相似,像俄罗斯等向着市场经济过渡的一些国家也纷纷采取了管理层收购的模式加快经济的转型。
