摘 要

随着我国经济进入新常态，市场竞争也越来越激烈，民营企业日常经营过程中面临着更复杂的风险，企业更加看重风险管理的作用，构建健全的风险导向内部控制体系成为我国民营企业抵御风险、提高经营效率、保证企业目标实现不可缺少的一步。

本文首先介绍了内部控制理论的发展进而引出了风险导向内部控制，对风险导向内部控制的相关概念进行了阐述，其次介绍了民营企业的特点和内部控制存在的问题，并对民营企业建立有效的风险导向内部控制体系的必要性进行了论述，然后根据构建风险导向内部控制体系的原则、思路对广东省江门市邑康源绿色食品有限公司进行了研究。旨在为民营企业构建完善的风险导向内部控制体系提供有力参考。

　　本文案例的研究是完全基于前文的理论的，对于案例公司风险导向内部控制体系的构建也是根据上文所述的构建原则和构建思路来进行的，理论和实例相结合来说明健全的风险导向内部控制体系是民营企业提高竞争力，保持健康可持续发展必需的。此外，本文紧紧结合了民营企业的特点和风险导向内部控制的特点，希望本文提出的构建原则和思路是适用于我国民营企业的，为我国民营企业的发展保驾护航的。

Abstract

　　As China's economy has entered a new norm, increasingly fierce market competition, private enterprises in the ordinary course of business facing more complex risks, enterprises pay more attention to the role of risk management, building a sound risk oriented internal control system has become China's private enterprises to resist risks, improve operational efficiency, ensure the target enterprise realizes the essential step.

　　In this paper, we first introduce the development of internal control theory and raises the risk oriented internal control, risk oriented internal control related to the concept are described, followed by the introduction of the private enterprises of the characteristics and internal control problems, and to the private enterprise establish effective risk oriented internal control system the necessity is discussed, then according to the construction principle, thought of risk oriented internal control system of Jiangmen City, Guangdong Province, Yi Kang source of Green Food Co., Ltd. was studied. The aim is to provide a strong reference for the private enterprises to build a sound risk oriented internal control system.

　　Study of this case is completely based on the above theory, for the case of risk oriented internal control system construction is according to the above construction design idea and principle of the, theory and practice combination to illustrate sound risk oriented internal control system is the private enterprises to improve their competitiveness and maintain the healthy and sustainable development of the necessary. In addition, this paper closely combines the characteristics of private enterprises and the characteristics of the risk oriented internal control, to construction of the principles and ideas are applicable to our country private enterprise, to escort the development of private enterprises in our country.

1.1研究背景及意义

1.1.1研究背景

改革开放30年以来，我国民营经济的规模逐渐增大、竞争力日益加强，已成为支持增长、鼓励创新、增加就业、增加税收的主要力量。在我国国民经济中占据着不容小视的地位。当前我国经济发展进入新常态，国际金融危机还没有完全过去，世界经济正处在深度结构调整之中、复苏乏力；我国经济走势虽然缓中趋稳、稳中向好，但稳中也有难，长期积累的深层次矛盾在逐步暴露，影响我国经济发展的外部因素和内在条件短时间内难以改变，企业经营面临需求不足、竞争加剧的严峻挑战。经济新常态对于民营企业来说既是机遇又是挑战，为了能够在新的经济形势下扎稳根基，民营企业不仅要把握好宏观经济环境给予的发展机会，也要让自身强大起来。

随着我国经济的蓬勃发展，内部控制制度在我国企业中的应用也越来越广泛。现代企业处在复杂多变的经济环境和激烈的市场竞争中，企业在经营活动中所面临的不确定因素也越来越多且越来越难以控制，风险管理也运用到现代企业管理中，成为内部控制发展的一个新方向。构建风险导向内部控制体系成为民营企业发展过程中不可或缺的一部分。本文分析了我国民营企业内部控制现状和构建风险导向内部控制体系对于民营企业的意义，希望能够针对我国民营企业在经济新常态下构建风险导向内部控制体系上提出自己的一些建议和看法，使得我国民营企业能够利用这个机会成为国家经济增长的重大支柱。

1.1.2研究意义

（1）有利于帮助我国民营企业抵抗复杂的经济环境下的风险。经济的发展日新月异，企业面临的风险复杂多变，如何有效应对这些风险是民营企业急需思索的问题。本文结合了民营企业的特点和其内部控制在风险管理中存在的问题，提出了构建适用于民营企业的风险导向内部控制体系的方法，进而帮助我国民营企业建立健全的内部控制体系来抵抗新常态经济下的各种风险。
