摘 要

2008年爆发了金融危机，很多公司面临倒闭的风险，尤其是银行、保险公司这些金融机构受到严重影响，其中值得让人加以关注的便是公司治理的问题。从这个时候开始，公司治理开始被重视并且越来越多的学者对这一课题进行研究。一开始只是对股东与管理人员之间的利益冲突的研究，到后来建立激励管理层制度并同时利用公司治理提高战略决策水平，为投资人创造效益。这些都有赖于优秀的公司治理。怎样提高一个企业公司治理水平成为大家都关心的问题。但是对保险公司的治理要区别于其他普通公司，因为其特殊的高负债、债权人分散、保险合约长等特性，使得对这些公司的公司治理更加严格。很多国家也是因为保险行业经营的特殊性，从而特别注重对这些公司的监管。在这样的情况下，保险公司基于普通公司治理的共通性更要进行升华。

本文从中国平安集团的公司治理体系入手，分析公司的治理现状与问题。文章一共分成四个主要部分。第一部分讲述了公司治理研究背景以及国内外研究现状和成果。第二部分对中国平安保险股份有限公司的股权结构进行介绍。第三部分阐述中国平安公司治理现状。第四部分对中国平安保险股份有限公司治理中存在的突出问题以及提出几点完善中国平安保险股份有限公司治理的建议。

The Research on Corporate Governance of

Ping An Insurance (Group) Company of China, Ltd.

Abstract

2008 outbreak of the financial crisis, many companies face the risk of collapse, especially banks, insurance companies severely affected by these financial institutions, which makes them worthy of concern is corporate governance. From this point on, and the importance of corporate governance began to be more and more scholars conduct research on this topic. Just beginning to study conflicts of interest between shareholders and managers, and to later establish incentive management system and improve corporate governance while taking advantage of the strategic decision-making, creating benefits for the investors. These are dependent on good corporate governance. How to improve the level of corporate governance is a matter of concern to everyone. But the insurance company is different from other general corporate governance should, because of its special high debt, creditors dispersion, insurance contracts and long features, making these more stringent corporate governance. Many countries are also because of the particularity of insurance industry, and especially pay attention to the regulation of these companies. In this case, the insurance company based on the commonality of corporate governance is more common to be sublime.

From the China Ping Group's corporate governance system, we analyze the current situation and problems of corporate governance. Article altogether is divided into four main parts. The first part describes the corporate governance research background and research status and achievements at home and abroad. The second part of the shareholding structure of China Ping An Insurance Co., Ltd. introduced. The third part describes the current situation of China Ping corporate governance. The fourth part of the outstanding problems in China Ping An Insurance Company of the Governance and made several recommendations to improve governance in China Ping An Insurance Company.
