摘 要

目前，我国上市公司的筹资特点显示出了与发达市场经济条件下的企业筹资惯例不甚吻合的特征，本文将从市场环境角度，公司角度，成本角度等方面对上市公司筹资进行分析，针对各种融资方式如直接融资：IPO、增发股票（增发和配股）、分离交易可转债、公司债券、可转债、权证等；间接融资：银行等金融机构借款、其他机构或个人借款等，进行融资方式之间的比较分析。现对于高新技术企业的融资，并提出了上市公司债券的发展、选择优化债务融资、可转换债券等融资渠道发展的方向，完善及时加强法律制度，优化上市公司股权结构，以规范企业融资，提高企业的经济效益。本文首先对其研究框架进行了说明，在对国内高新技术企业筹资方式的研究现状做一述评的基础上，它提出了现有研究的不足，为了说明本文的目的和意义，并指出了研究方法、思路以及从研究方法和观点两个方面革新。

Abstract

At present, the financing way of listed companies shows with developed market economy under the conditions of the characteristics of the enterprise financing practice is not consistent, in this paper, from the perspective of market environment, the company perspective, the cost Angle, etc, form the financing way of listed companies is analyzed, according to various financing ways such as direct financing, IPO, issuing shares (a rights issue, a rights issue), corporate bonds, convertible bonds, the separation of trading convertible bonds, warrants, etc., indirect financing, bank loans, financial institutions, such as other organizations or individuals borrowing, etc., for financing, the comparative analysis between the current analysis in view of the high and new technology enterprise financing way, and put forward the development of the bond of listed companies, debt financing, the development direction of optimizing the financing channels of convertible bonds, timely to strengthen the perfection of legal system, optimize the equity structure of listed company's advice, in order to standardize enterprise financing way, improve enterprise economic benefits. This paper first illustrated on its research framework, in both at home and abroad and the research status of high and new technology enterprise financing way to do a review on the basis of, puts forward the shortcomings of existing studies, so as to explain the purpose and significance of this study, and points out the paper, the research method and train of thought and from two aspects of research methods and research ideas to innovation.

1.1 研究目的及意义

1.1.1 研究目的

高新技术企业是智力和知识密集型、收益高、投入高、风险高的产业，高新技术发展速度快，产品换代周期短，一般行业较快增长。但是传统产业成熟的技术，因而在总体资金有供应保证，因为早期高科技企业具有较大的不确定性等风险因素，影响了募集资金需求。由于缺乏足够的资金支持，没有转化成真正的商品的科技成果，技术进步对经济增长率的奉献偏低。

本文首先对分析了高新企业的含义、行业特性、社会作用，阐述了高新企业的募集资金的能力；分析了高新企业的目前的筹资状况，以及面临筹资困难的客观条件。从而找到了高新企业难以筹集资金的原因；具体分析和比较了不同高新技术企业的募集资金的经验。为中国高新企业筹集资金出谋划策。

1.1.2 研究意义

当下，影响高新企业稳定、迅速发展的主要原因是没有办法筹集到足够的运营资金。其一，高新企业在专门从事科技研究和新发明的人员较少，并且企业规模不大。公司不能以自身的资金积累完成融资，以满足企业对资金的需要。其二，由于高新企业在萌芽期、成立期和成熟期面临着很多方面的风险，比如说在技术，市场，管理财务等方面，通过企业外部获取资金很困难。企业要发展，就必须有稳定的资金支持，但是，由于高新技术企业具有的高风险性、投资回报期长等特性，中国高新技术企业的进步缺乏资金支持，进展受到强烈阻碍。我国科技成果的产业化率、产业化水平远远低于发达国家，如果进一步分析已经转化成现实商品的科技成果的资金来源，变会突显出当下中国高新技术产业进一步发展所面临的困境。

当下，中国政府强化了以结构调整、人才分流、制度转变为重点的科研体制改革强度，相应地推出了一系列优惠的政策。所以，现如今我们应着重关注的是怎样从高新技术产业的发展运行规律中，依据中国的基本国情，探索出行之有效的资金筹措方式。因此，怎样重新认识高新技术企业筹资的特征和风险，探索高新技术企业筹资困难的问题所在。
