摘 要

企业价值是20世纪60年代随着产权市场的出现而慢慢发展起来的，这是一位美国的学者提出的。经过几十年的发展，企业价值在外国市场发展的如火如荼，在我国，也有越来越多的人也开始注意到企业价值的重要性，并且开始对企业价值进行研究。而企业本身就是一种商品，被用来在市场中进行交易，只有这样，企业才能实现利润到价值的转变，并达到最大化。也正因为如此，通过分析企业的财务报告来对其价值进行研究就变得尤为重要了。对财务报表进行分析是人们评估企业价值、预测企业未来发展前景的主要手段。所以，能够准确地利用并了解公司财务报告的信息，通过财务报告知道企业的运营情况也十分重要。

本文就宝山钢铁股份有限公司的财务报告对其企业价值进行深入的分析，但是我认为企业价值不仅仅就是体现在财务报告上，也应当放眼于公司的其他非财务因素方面，比如环境、竞争等方面的信息。所以本文对宝山钢铁股份有限公司的财务与非财务因素进行了综合研究分析，评估企业价值，并且提出能够提升企业价值的一些意见途径。

Research on Enterprise Value Based on Financial Report

──Take Baoshan Iron Steel Company as An Example

Abstract

Enterprise value is developed slowly in the 1960 s with the appearance of the property market, this is an American scholar put forward. After decades of development, the enterprise value in the foreign market development, and in our country, there are more and more people began to pay attention to the importance of enterprise value, and began to research the enterprise value. And enterprise itself is a kind of commodity, is used to trading in the market, only in this way, the enterprise can realize profits to the change of value, and to maximize. Because of this, through the analysis of the financial reports of enterprises to study its value becomes especially important. Analysis of financial statements is the assessment of enterprise value, predict the future development prospect of the main means. So, use and understand the company"s financial report information accurately, through the financial report know enterprise operation is also very important.

In this paper, the financial report of Baoshan iron and steel co., LTD., in-depth analysis of the value of the enterprise, but I think the enterprise value is not only reflected in the financial report, should also look at the company"s other non-financial factors, such as environmental information, competition, etc. So in this paper, the Baoshan iron and steel co., LTD., the financial and non-financial factors in the comprehensive analysis and assessment of enterprise value, and put forward some opinions to improve enterprise value.

1.1选题背景及意义

世界在进步，经济在发展，人们的认知也变得高了起来，随着企业的日益改善，财务管理开始从“利润最大化”演变成了“企业价值最大化”。我们可以知道企业有盈利性、持续经营、整体性等特点，所以企业价值最大化就符合了企业本身的自我价值与特点，所以可以说对企业价值进行研究也是对企业长期利益的研究。根据企业的财务报告对其财务数据进行分析，从而探析企业的价值，可以从财务方面更深入的知道企业的运营状况，为企业的经营管理提供有力的依据。但是不是什么都是完美的，市场也会存在一定的缺陷，有时候会低估资产，有时候也会高估负债。对价值进行评估就刚好是利用市场的缺陷找到被低估的资产或者被高估的负债，使企业在一个合理的价值范围内进行市场运作，使其能够生产最大的经济效益，为股东和企业创造最大的利润，所以对企业进行价值评估对企业的发展有十分重要的作用。
