摘 要

在改革开放以来，我国在经济上已经取得了巨大的成就，其中，中小企业可谓功勋卓著。目前来看，中小企业已经成为我国的全面实现小康的重要力量，特别是在充分就业、发展经济、扩大市场等方面发挥着很重要的作用。

随着我国加入WTO以及改革开放的脚步不断加快，中小企业正面临着机遇和挑战并存的局面，正如那句名言：虽然前途是光明的，但道路还是曲折的。中小企业间竞争越来越激烈，这些企业的快速发展已成为推动我国经济前进的强大动力，然而，随着市场竞争的进一步加剧，中小企业面临着前所未有的困难。怎样正确认识到企业发展存在的问题，并且针对这些问题提出有效的解决对策，对中小企业乃至整个国民经济的健康良好发展都有重要意义。

现如今，中国工业化进入了中期阶段,已经有一定基础,因此大力发展中小企业对于目前的中国经济现状来说是最优的战略决策。拥有有效的企业治理结构不仅对提高经济效率有益处，而且还为维护各大股东权益提供了重要保障，企业治理结构不仅会使企业融资方式受影响，企业融资模式也会受很大影响。我国大多数中小企业治理结构都不合理，更严重的可能治理结构缺失，这种缺失影响了中小企业融资效率，从而造成融资结构不合理的问题。因此，要想解决中小企业结构带来的各种问题，就要合理完善中小企业的治理结构。

Abstract

Since the reform and opening up, China has made in economic tremendous achievements, SMEs can be described as meritorious. For now, SMEs have become an important force in the full realization of well-off, especially plays a very important role in the full employment, economic development, expand the market and so on.

With China"s accession to the WTO as well as accelerating the pace of reform and opening up, SMEs are facing opportunities and challenges of the situation, as the famous phrase: Although the future is bright, but the road is tortuous. Between SMEs more competitive, the rapid development of these enterprises to promote China"s economic advance has become a powerful driving force, however, with further competition in the market, SMEs are facing unprecedented difficulties. How to correctly recognize the problems of the development of enterprises, and propose effective countermeasures against these problems, the development of SMEs in good health and even the entire national economy are important.

Now, China has entered the middle stage of industrialization, has a certain basis, and therefore to develop SMEs in China for the current economic situation is the best strategic decisions. Have an effective corporate governance structure is not only beneficial to improve economic efficiency, but also to safeguard the interests of the major shareholders provide important protection, corporate governance structure will not only be affected corporate financing, corporate financing mode will be greatly affected. Our governance structure of most SMEs are unreasonable, may be more serious lack of governance structure, this lack of efficiency affecting the financing of SMEs, resulting in the problem of irrational financing structure. Therefore, in order to solve the problems brought by the SME structure, it is necessary to improve the governance structure reasonable SMEs.
