摘 要

经济全球化发展迅猛既给跨国公司提供了开放的国际市场平台，也带来了更多未知的风险。近年来海外投资亏损的报道不断传出，如何预防并监管海外投资风险成为跨国企业当务之急。企业跨国投资的内容形式远比国内投资更加复杂多变，遭遇的风险也更加隐蔽性、复杂性、不确定性。针对此类问题的研究具有深远的现实意义。

本论文基于跨国公司对外投资现状的分析，针对跨国公司对外投资方面的特点，采用分类法、综合法以及文献研究的方法，从政治、法律、经济、知识产权以及投资决策五大方面着手。文献综述部分提出了本文研究的主要方向和观点依据，并对我国跨国公司对外投资面临的风险及风险的特点作了简要分析。针对各类风险的具体表现形式提出解决方案。先从本国政府角度出发，充分认识政府发挥的积极作用，其次从东道国角度入手，分析了东道国政府在其中不可忽略的地位，最后提出对跨国公司自身的要求。

第一章 绪 论

1.1研究背景

经济全球化的繁荣让国际间的竞争愈演愈烈，21世纪以来中国境外直接投资规模迅速扩大，跨国投资领域逐渐上升成经济竞争的主要战场，如何加强对风险的针对性防治已成为境外投资企业迫在眉睫的任务。然而，各国之间语言交流、文化环境、经济发展水平有高有低、政治人文等诸多不同之处，就企业的跨国投资而言是存在较大风险的，而这种风险的潜伏性、共存性、多样性和复杂性无疑给跨国企业带来前所未有的挑战。我国企业实施“走出去”的发展战略，对于这些跨国投资企业来说，为了达到对外安全投资的预期目的，必须针对对外投资风险的类别、产生原因以及及时识别与防范进行进一步研究，该选题具有重要的现实意义。论文的主要目标在于阐明风险的产生、种类及成因等问题的基础上，分析我国跨国企业风险管理的现状及其重要性，最后重点针对政治风险、法律风险、经济风险等提出针对性管理策略，增强我国跨国公司对外投资水平和国际市场竞争力，为我国跨国企业获得长期稳定发展提供参考。

1.2研究目的和意义

当今世界各国经济依赖性日益加深，我国企业渐渐将投资目光投向海外市场，在激烈复杂的竞争环境下，作为经济全球化重要载体的跨国企业长久以来不断发展。但也不能忽略的是，经济利益攀升的同时，面临着更多更复杂的投资风险，如常见的商业性风险、技术人才风险、政治风险等，就近年的对外投资活动而言，政治风险中以恐怖暴力事件最为常见，大大侵害了我国海外投资者的人身财产安全，使得我国海外投资者在投资东道国蒙受巨额损失的事件屡见不鲜，长此以往必然会危及我国海外投资的健康发展。而跨国投资作为国内企业与国际接轨的重要手段，意味着需要面临更高、更繁琐、更艰难的处境，我国许多企业跨国投资起步晚，发展经验不足，许多方面还存在着较多问题，面临各种防不胜防的风险。因此企业在选择对外投资时，要慎重对待。其中，前期的风险防范显得尤为重要，本文将详细分析各种风险的表现形式及其相应防范措施，以便更好地促进国内企业跨国投资的发展。
