发端于英美的独立董事制度对于公众公司具有重要意义，是现代公司治理的重要制度，但是我国独立董事制度存在不少争议。本课题要求在调查及对比基础上指出中国独立董事制度目前存在的问题，优化的必要性及优化的建议。本课题研究能够为决策层改进中国的独立董事制度提供参考。
